Terms of Service
Short version: By using OuterMap, you agree to these Terms. You own your content; we provide the software. Don't break the law with our platform. We can change pricing with reasonable notice. Either side can end the contract following the rules in section 11.
1. Acceptance of these Terms
These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and OuterMap, operated by Codequantum Technologies Pvt Ltd ("OuterMap", "we"). By creating an account, accessing the Service, or clicking "I agree", you accept these Terms. If you do not agree, do not use the Service.
If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
OuterMap provides a software platform ("the Service") that lets organizations:
- Upload static map images and digitize them with AI assistance.
- Manage points of interest, trails, and metadata via a web dashboard.
- Publish branded mobile applications for iOS and Android.
- Track visitor analytics and engagement.
3. Accounts
- You must provide accurate registration information and keep it current.
- You are responsible for safeguarding credentials and for all activity on your account.
- You must notify us promptly of any unauthorized access.
- Each user must have their own account — no shared logins.
4. Plans, pricing & payment
- Plan tiers and pricing are described on our website and may be updated with at least 30 days' notice for active subscriptions.
- Fees are charged in advance and are non-refundable except where required by law.
- Failure to pay may result in suspension after a reasonable notice period.
- You authorize us to charge applicable taxes (GST, VAT, sales tax) where required.
5. Your content & data
You retain all rights to map images, POI data, photos, and other content you upload ("Customer Content"). You grant OuterMap a worldwide, royalty-free, non-exclusive license to host, process, transmit, and display Customer Content solely to provide the Service.
You represent that you have all necessary rights to upload Customer Content and that it does not infringe third-party rights.
6. Acceptable use
You agree not to use the Service to:
- Violate any law or third-party rights.
- Upload malicious code, spam, or illegal content.
- Attempt to gain unauthorized access to other accounts or our infrastructure.
- Reverse engineer the Service or scrape it at high volume.
- Resell or sublicense the Service without our written consent.
- Use the Service for safety-critical navigation where failure could cause harm (the Service is informational, not a substitute for emergency services or licensed navigation).
7. AI features
OuterMap's AI features produce an editable draft from your map image. We do not auto-publish AI output — your team reviews and approves before content goes live. AI output may contain errors; you remain responsible for reviewing it before publication. We do not use your Customer Content to train third-party AI models.
8. Intellectual property
- The Service, including all software, design, and documentation, is owned by OuterMap and protected by intellectual-property law.
- We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms.
- OuterMap logos, name, and branding may not be used without written permission, except to identify your use of the Service.
9. Confidentiality
Each party will protect the other's confidential information with the same care it uses for its own, and at least reasonable care. This survives termination for three years.
10. Warranties & disclaimers
The Service is provided "AS IS" and "AS AVAILABLE". Except where prohibited by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or perfectly accurate.
11. Termination
- You may cancel any time from your account dashboard or by writing to us. Pre-paid fees are non-refundable.
- We may suspend or terminate your account for material breach, with notice and a chance to cure (where practicable).
- On termination, your access ends. You may export your data within 30 days; after that we permanently delete it.
12. Limitation of liability
To the maximum extent permitted by law, OuterMap's total aggregate liability under these Terms in any 12-month period will not exceed the fees you paid in that period. We are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, revenue, or data.
13. Indemnity
You will defend, indemnify, and hold OuterMap harmless from claims arising out of (a) your Customer Content, (b) your use of the Service in violation of these Terms, or (c) your violation of any law or third-party right.
14. Governing law & disputes
These Terms are governed by the laws of the Customer's principal place of business unless otherwise agreed in a signed order form. Disputes will first be addressed by good-faith negotiation, then escalated to courts of competent jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced via email at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance.
16. Miscellaneous
If any clause is held unenforceable, the rest remains in effect. Neither party may assign these Terms without written consent, except in connection with a merger, acquisition, or sale of substantially all assets. These Terms are the entire agreement and supersede prior agreements on the same subject.
