Terms of Service

Short version: By using OuterMap, you agree to these Terms. You own your content; we provide the software. Don't break the law with our platform. We can change pricing with reasonable notice. Either side can end the contract following the rules in section 11.

1. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and OuterMap, operated by Codequantum Technologies Pvt Ltd ("OuterMap", "we"). By creating an account, accessing the Service, or clicking "I agree", you accept these Terms. If you do not agree, do not use the Service.

If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

You retain all rights to map images, POI data, photos, and other content you upload ("Customer Content"). You grant OuterMap a worldwide, royalty-free, non-exclusive license to host, process, transmit, and display Customer Content solely to provide the Service.

You represent that you have all necessary rights to upload Customer Content and that it does not infringe third-party rights.

OuterMap's AI features produce an editable draft from your map image. We do not auto-publish AI output — your team reviews and approves before content goes live. AI output may contain errors; you remain responsible for reviewing it before publication. We do not use your Customer Content to train third-party AI models.

9. Confidentiality

Each party will protect the other's confidential information with the same care it uses for its own, and at least reasonable care. This survives termination for three years.

10. Warranties & disclaimers

The Service is provided "AS IS" and "AS AVAILABLE". Except where prohibited by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or perfectly accurate.

To the maximum extent permitted by law, OuterMap's total aggregate liability under these Terms in any 12-month period will not exceed the fees you paid in that period. We are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, revenue, or data.

13. Indemnity

You will defend, indemnify, and hold OuterMap harmless from claims arising out of (a) your Customer Content, (b) your use of the Service in violation of these Terms, or (c) your violation of any law or third-party right.

14. Governing law & disputes

These Terms are governed by the laws of the Customer's principal place of business unless otherwise agreed in a signed order form. Disputes will first be addressed by good-faith negotiation, then escalated to courts of competent jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance.

16. Miscellaneous

If any clause is held unenforceable, the rest remains in effect. Neither party may assign these Terms without written consent, except in connection with a merger, acquisition, or sale of substantially all assets. These Terms are the entire agreement and supersede prior agreements on the same subject.
